Acceptance of Terms By participating in the RoadClub Rewards Program (the "Program"), you ("Recipient" or "you") agree to be bound by these terms and conditions ("Terms"). These Terms constitute a binding agreement between you and Cambridge Mobile Telematics, Inc. ("Company" or "we"). If you do not agree to these Terms, you may not participate in the Program.

The Program allows eligible individuals to earn rewards ("Rewards") based on achieving certain driving score and mileage thresholds, as further described in the program materials and these Terms. Rewards are provided in the form of monetary balances that can be redeemed for gift cards through a third-party provider, Tango Card, Inc. ("Tango").

By participating in the Program, you acknowledge that Cambridge Mobile Telematics, Inc. (“CMT”) collects, uses, and shares information about you and your driving activities as described in CMT’s privacy policy. The Privacy Policy is incorporated into these Terms by reference and governs our processing of personal information, including location, motion-sensor, device, and driving event data collected to operate the Program, prevent fraud, perform analytics, and improve our services. We may update the Privacy Policy from time to time as stated therein. If you delete your account, we will handle your information in accordance with the Privacy Policy, including any retention and de-identification practices described there. Third-party services used in connection with the Program (e.g., gift card providers) are subject to their own privacy policies.

Driving Points Thresholds: Rewards are earned by accruing daily points based on your driving behavior. The Program will start users with 20 points each and deduct points based on evaluating key risk metrics including without limitation, Distraction, Hard Braking and Contextual Speeding using a custom behavioral analysis developed for RoadClub.

Reward Frequency: Rewards are calculated and issued at the end of each day, based on your risk metrics. Rewards will be issued no later than 12:30 AM Local Time for the previous day. Once issued, rewards are instantly available for redemption.

First Drive Reward: You may be eligible to receive a one-time Reward upon completion of your first drive after enrolling in the Program.

Reward Limit: Reward earnings are capped per 12-month period measured from your registration date. Once reached, you may continue using the app and redeem your earned Rewards at any time until 12 months have passed from the date of registration, at that point the Rewards cap will be reset.

Minimum Distance: To be eligible for Rewards, you must drive a minimum distance of 5 miles per day during each reward period.

Permissions: You must enable all necessary permissions for telematics to function correctly, including without limitation, location services at all times.

Active Account: Your account must be active. If your account is deleted, any unredeemed rewards will be forfeited.Company may, at its sole discretion, award additional Rewards based on criteria other than driving scores.

Ad Hoc Rewards: Company may, at its sole discretion, award additional Rewards based on criteria other than driving scores.

Tango Integration: Rewards are redeemed through Tango, a third-party provider of gift card solutions. Company will fund a Tango account for the purpose of fulfilling Reward redemptions. The time to receive an email with the link to the e-gift card may vary depending on Tango’s processing times.

Reward Conversion: Reward points can be converted to dollar values for each gift card made available as specified for each gift card provider.

Available Cards:
The selection of gift cards available for redemption may vary and is subject to change.

Redemption Process:
To redeem Rewards, you will need to follow the redemption instructions provided through the Program. This may involve accessing a designated Rewards dashboard or section within the app.Currency: Rewards will be issued and redeemable in US Dollars.

No Resale:
Rewards may not be resold, transferred, or exchanged. No cash redemption except as required by law. Once converted to a gift card, the card issuer’s state-specific cash-out rules may apply.

Expiration:
If the Program is terminated, we will provide at least 30 days’ notice in-app and/or by email. Expiration and escheatment of unredeemed Rewards will be handled in accordance with applicable law. Once Rewards are redeemed for a third-party gift card, the gift card is governed by the card issuer’s terms (including any CARD Act protections).. If no action is taken, all unredeemed Rewards expire 12 months after issuance.

Account Deletion Procedure:
1. User Request: A user seeking to delete their account must submit a written request to the Support Team.
2. Processing Timeline: Upon receipt of the request, the Support Team shall initiate the account deletion process, which shall be completed within a timeframe of 24 to 48 hours.
3. Data Removal: Upon the deletion of the account, certain information associated with the user account will be permanently removed from the system and information as required by law, and CMT may continue to use drive data as allowed by its privacy policy.
4. Re-Registration Requirement: Following the deletion of the account, the user will be treated as a new user for all purposes. Should the user wish to use the services again, they must register for a new account in accordance with the standard registration procedures.

Supplier Terms: The use of any gift card obtained through the Program is subject to the terms and conditions of Tango, which you agree to comply with: https://www.tangocard.com/legal/terms-of-service

We reserve the right to delete or block an account if fraudulent activities are detected in our reasonable discretion, such as: Reclassifying trips to manipulate the driving score, Using multiple devices logged into the same or different accounts in the same vehicle, Accounts not in good standing or violating the Program Terms, and other similar techniques.

Company reserves the right to modify, suspend, or terminate the Program, or to modify these Terms, at any time and in its sole discretion. Changes apply prospectively and will not reduce Rewards already earned prior to the effective date, except where we determine fraud or ineligibility.

Rewards are provided "as is" and without warranty of any kind, express or implied. Company makes no representations or warranties of any kind, express or implied, regarding the Rewards, including without limitation any warranty of merchantability, fitness for a particular purpose, or non-infringement.

To the fullest extent permitted by applicable law, Company will not be liable for any damages in excess of USD $100 or the total Rewards credited to your account in the last six (6) months preceding the claim, excluding amounts attributable to our willful misconduct or gross negligence, or bodily injury.

These Terms are governed by the laws of the Commonwealth of Massachusetts, excluding its conflict-of-laws rules. You and Company agree to binding arbitration administered by the AAA under its Consumer Arbitration Rules, before a single arbitrator in Boston, Massachusetts, conducted in English. Class and Representative Action Waiver: disputes may be brought only on an individual basis; class, collective, or representative actions are not permitted. Small Claims: Either party may bring an individual claim in small-claims court. Fees: Payment of filing, administration, and arbitrator fees will be governed by the AAA Rules. Nothing limits either party’s ability to obtain equitable relief in any court of competent jurisdiction.

These Terms constitute the entire agreement between you and Company relating to the Program and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written, relating to this subject matter. Only a signed writing may modify these Terms.
